Marilyn is a Singapore-qualified lawyer with over 12 years of experience across corporate, commercial and regulatory matters. Her practice covers mergers and acquisitions, corporate and commercial transactions, funds, employment issues and regulatory advisory work, with a strong focus on multi-stakeholder and cross-disciplinary projects.

She has led and managed major corporate transactions and restructuring engagements, acting for both listed and privately held companies, including foreign state-owned entities and high-growth start-ups.

  • Advised a listed multidisciplinary group on the acquisition of a billion-dollar regional healthcare platform, including transaction execution and regulatory clearance across multiple jurisdictions.
  • Advised a foreign offeror on a successful voluntary general offer for an SGX Mainboard-listed manufacturing company.
  • Advised a US-listed multinational group on the Singapore legal aspects of a tax-driven cross-border group restructuring, including the planning and implementation of corporate actions and collaboration with overseas counsel and tax advisers.
  • Advised shareholders on the divestment of a branding and design business to an international creative agency, including the unwinding of existing joint venture arrangements.

Funds and Investments

  • Advised fund managers and sponsors on the establishment and structuring of Singapore investment platforms and Variable Capital Companies, including regulatory and ongoing compliance considerations.
  • Advised on the structuring of Variable Capital Companies with multiple investment strategies and investor classes, including class-based economic and voting rights and capital segregation arrangements.

Employment and Regulatory

  • Advised a government-linked group on a group-wide corporate structure and governance review, including the assessment of company limited by guarantee, charity and institution of a public character frameworks.
  • Advised a Singapore-headquartered technology services company on the design and implementation of a multijurisdictional employee share incentive plan covering Singapore, the United Kingdom and the United States.
  • Led the Singapore legal workstream supporting a multinational technology group in the establishment and operationalisation of new businesses in the financial services and payments sector, including corporate, employment and regulatory considerations.
